Terms and Conditions

  1. Definitions and Interpretation

    • Blue Line Pharma: Refers to Blue Line Pharma, a company incorporated in Mumbai (Company Registration No. 03250064), with its registered office at K K Chambers, 2nd floor, Fort, Mumbai 400001.
    • Business Day: Refers to any day other than a Saturday, Sunday, or public holiday in Mumbai, India, when banks are open for business.
    • Buyer: Refers to any individual, firm, corporation, or entity to whom Blue Line Pharma supplies goods.
    • Intellectual Property Rights: Encompasses all copyright, database rights, trademarks, patents, design rights, and other intellectual property rights.
    • Products: Refers to any products sold by Blue Line Pharma to the Buyer, including any components thereof.
    • Terms: Refers to the terms and conditions outlined herein.
  2. General

    • These Terms apply to the sale of all Products by Blue Line Pharma unless otherwise agreed in writing.
    • The Buyer is responsible for ensuring the accuracy and completeness of their order and specifications.
    • The Buyer warrants proper registration and authorization to receive the Products, holding all necessary licenses under applicable laws.
  3. Title/Risk

    • Risk passes to the Buyer upon dispatch from Blue Line Pharma's distribution warehouse.
    • Ownership of Products remains with Blue Line Pharma until full payment is received.
    • Until ownership transfer, Buyer holds the Products as fiduciary agent, maintaining them separately and insured.
  4. Price

    • Prices are as agreed upon or specified by Blue Line Pharma in writing.
    • Payment terms are within 30 days from the invoice date unless otherwise agreed.
    • Prices are exclusive of VAT or any other applicable taxes.
  5. Payment

    • Invoices are due within 30 days of the invoice date.
    • Payments must be made without deduction or set off.
    • Failure to pay may result in contract cancellation, interest charges, and debt recovery expenses.
  6. Deliveries

    • Delivery takes place at the Buyer's place of business unless otherwise agreed.
    • Delivery dates are estimates, and Blue Line Pharma is not liable for delays caused by the Buyer's actions.
    • Buyer must notify Blue Line Pharma of any delivery discrepancies within 2 Business Days.
  7. Exports

    • Buyer must obtain written permission from Blue Line Pharma before actively promoting or exporting Products from India.
    • Buyer is responsible for complying with import regulations and paying associated fees.
  8. Non-Delivery of Products

    • Claims for non-delivery must be made within 2 Business Days.
    • Blue Line Pharma's liability for non-delivery is limited to replacement or credit issuance.
  9. Returned Goods Policy

    • Returns are considered within 1 year of delivery subject to conditions outlined herein.
    • Returned goods must have prior authorization and may incur return expenses.
  10. Limitation of Liability

    • Blue Line Pharma's liability is limited to the price of the Products.
    • Blue Line Pharma is not liable for indirect losses or damages.
  11. Indemnity

    • Buyer indemnifies Blue Line Pharma against claims arising from neglect or use of Products by the Buyer.
  12. Termination

    • Blue Line Pharma may terminate the agreement for specified reasons.
    • Termination does not affect accrued rights or liabilities.
  13. Product General Terms

    • Buyer agrees to stock and sell a reasonable level of Products.
    • Products must be stored and handled according to specified conditions.
    • Buyer must maintain records and cooperate in batch recalls.
  14. Packaging

    • Buyer must resell Products in original packaging without alteration.
    • Products must not be used in clinical trials without permission.
  15. Intellectual Property

    • Buyer has no rights in Blue Line Pharma's Intellectual Property Rights.
    • Buyer must not use Blue Line Pharma's trademarks without consent.
  16. Force Majeure

    • Neither party is liable for delays or failures due to Force Majeure Events.
  17. Enforceability and Waiver

    • If any part of the Terms is unenforceable, the remaining provisions remain valid.
    • Failure to exercise rights under the Terms does not waive those rights.
  18. Governing Law

    • These Terms are governed by the laws of Mumbai, India.
    • Any disputes are subject to the exclusive jurisdiction of the courts of Mumbai.
  19. Assignment

    • Blue Line Pharma may assign its rights under the Terms.
    • Buyer may not assign its rights without Blue Line Pharma's consent.
  20. Third-Party Rights

    • No third party has rights to enforce these Terms.
  21. Notices

    • All notices must be in writing and delivered to the respective parties' addresses.
